1. Introduction

Welcome to Steele Solutions LLC ("Company," "we," "our," or "us"). By accessing or using our CRM platform, software-as-a-service ("SaaS") system, websites, integrations, or related digital tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between you ("Client," "you," or "User") and Steele Solutions LLC. They govern your access to and use of the Services, including any associated data, software, features, or communication systems.

Our Privacy Policy, incorporated by reference, explains how we collect, use, and safeguard your information when you use our Services. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.

2. Scope of Services

Steele Solutions provides a suite of marketing automation and business enablement technologies, including CRM hosting, SaaS infrastructure, website and funnel tools, communication integrations, pipeline management, artificial intelligence (AI) utilities, and related digital services. Specific tools, functions, and integrations may vary by account tier, subscription plan, or customized agreement.

Services may include, but are not limited to:

  • CRM Access and Hosting: Provision of client-specific CRM environments, including user management, data storage, and pipeline tracking.
  • Website and Funnel Tools: Access to website builders, landing page editors, and analytics dashboards.
  • Communication Integrations: Email, SMS, and call functionality delivered via authorized third-party carriers and APIs.
  • Appointment Scheduling & Lead Capture: Booking calendars, intake forms, and lead routing automation.
  • Workflow & Automation Management: Trigger-based actions, follow-ups, and process automation.
  • Analytics & Reporting: Performance tracking, KPI dashboards, and reporting tools.
  • Reputation & Review Management: Tools to monitor, generate, and respond to customer reviews.

Artificial Intelligence (AI) Tools

Steele Solutions may provide proprietary and third-party AI capabilities designed to enhance sales, marketing, and customer engagement. These may include, but are not limited to:

  • AI-assisted lead qualification and customer segmentation.
  • Predictive analytics, automation triggers, and chat-based conversational agents.
  • Natural-language content generation and communication assistance.
  • Integration with external AI APIs for workflow optimization.

Users acknowledge and agree that AI features operate based on algorithmic and probabilistic models and may produce outputs that are incomplete, inaccurate, or unsuitable for certain business, legal, or regulatory purposes. You remain solely responsible for verifying and approving any AI-generated content or recommendation before using it in client-facing, financial, or compliance-sensitive contexts. Steele Solutions expressly disclaims any liability arising from the use or interpretation of AI-generated content.

3. User Responsibilities

By using our Services, you agree to:

  • Provide accurate, current, and complete information during account setup.
  • Maintain the confidentiality of your login credentials and account access.
  • Use the Services only for legitimate business purposes and in compliance with applicable laws and regulations, including but not limited to:
    • A2P 10DLC registration requirements for SMS messaging.
    • CAN-SPAM Act (email marketing).
    • Telephone Consumer Protection Act (TCPA).
    • GDPR and CCPA, where applicable.

You are solely responsible for obtaining valid consent from your contacts before sending marketing or automated communications and for all activity conducted under your account.

4. Fees & Payments

  • Fees are billed according to your subscription, service package, or signed agreement.
  • Certain features (including SMS, email, API calls, or third-party usage) may incur additional pay-per-use charges.
  • Payment is due as specified in your plan. Failure to pay may result in account suspension, service interruption, or termination.
  • All fees are non-refundable, except as expressly stated in writing.
  • You authorize Steele Solutions to process payments via your selected billing method or payment processor (e.g., Stripe).

5. Data & Integrations

  • Our Services rely on integrations with third-party APIs and carriers to deliver communications (e.g., Twilio, Mailgun, Google, Meta, etc.). We do not guarantee delivery speed, uptime, or performance of third-party systems.
  • By using our Services, you authorize Steele Solutions to collect, process, transmit, and store your business data as necessary to provide the Services.
  • You remain the data controller for all customer information uploaded or managed through the system. Steele Solutions acts as a data processor under applicable privacy laws.
  • We implement reasonable technical and organizational safeguards to protect your data, but no system is entirely immune to risk.

6. Acceptable Use Policy

You agree not to use the Services to:

  • Send unsolicited or unlawful communications ("spam").
  • Upload, host, or transmit malware, viruses, or malicious code.
  • Infringe upon the intellectual property rights of any person or entity.
  • Engage in deceptive, fraudulent, or abusive practices.
  • Circumvent or disrupt the functionality of the platform.

Violation of this policy may result in immediate suspension or termination of your account without refund or notice.

7. Intellectual Property

All software, content, logos, design assets, and underlying technology are the exclusive property of Steele Solutions LLC or its licensors (including GoHighLevel). You retain ownership of your uploaded data, creative assets, and customer content.

By using the Services, you grant Steele Solutions a limited, revocable, non-exclusive license to process, store, and display your content solely for the purpose of delivering the Services.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Services are provided "as is" and "as available" without warranties of any kind, express or implied.
  • Steele Solutions LLC makes no guarantee of uninterrupted service, data accuracy, or specific business results.
  • We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or system downtime.
  • Our aggregate liability for any claim shall not exceed the total amount paid by you to Steele Solutions during the three (3) months preceding the claim.

Some jurisdictions may not allow certain limitations, so parts of this clause may not apply to you.

9. Termination

We may suspend or terminate your access to the Services immediately if you:

  • Breach these Terms or any applicable law.
  • Fail to pay fees when due.
  • Misuse the Services or engage in prohibited conduct.

You may terminate your account at any time by providing written notice to [email protected]. Upon termination, your right to use the Services ceases immediately, and we may delete or disable access to related data in accordance with our data retention policy.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Broward County, Florida, under the rules of the American Arbitration Association (AAA). You agree to waive any right to participate in a class action or jury trial.

11. Modifications

We may modify or update these Terms from time to time. Any material changes will be communicated via email, in-app notice, or website posting. Continued use of the Services after such notice constitutes acceptance of the revised Terms.
